Terms and Conditions

We at Distriply appreciate your decision to use our Service Distriply One. This document explains the terms and conditions under which we provide our Service. By using our Service, you agree to these terms and conditions. If you have questions regarding this agreement, please contact us at connect@distriply.com.

Distriply One is an internet based travel distribution Service designed to simplify how you search, book, and manage travel content. Our Service connects you with a wide range of travel suppliers, enabling you to offer seamless and efficient travel plans to your customers, including individual travellers and corporate clients.

Parties involved in this Agreement

This agreement (“Agreement”) governs your use of Distriply One (the “Service”), provided by Hahn Air Lines GmbH. It outlines the roles, responsibilities, and expectations between you and us (“Distriply”, “we”, or “us”). By creating an account or using our Service, you confirm your acceptance of these terms and conditions.

Distriply is offered by Hahn Air Lines GmbH, a German-registered company with its headquarters in Dreieich, Germany. Certain parts of the Service may be delivered by our owners or other partners, including our sister company Saspo Direct GmbH for ticketing.

You as an Agency (“you”, “Agency”, “authorised individuals”) are independent and not part or an official representative of Distriply, its parent companies or partners. You do not have any authority to act on Distriply’s behalf, sign contracts, or take on obligations in its name. When dealing with third parties, you as an Agency must clarify that you act independently and that no contractual relationship or financial obligation exists between the third party and Distriply.

By accepting these terms and conditions you confirm that you using the Distriply Services is conform with the legal and regulatory requirements applicable to you, that Distriply does not require a local licence to operate in your country and that you do hold all licences necessary to use the Distriply Service. If regulations change, you must inform Distriply immediately and adjust its use of the Service accordingly.

Service Provided by Distriply One

To support your operations, Distriply provides flexible options to handle key aspects of travel management. You may choose to utilise one or more of the following parts of the Service:

Ticketing Authority

In collaboration with Saspo Direct GmbH (“Saspo”) as your licensed travel agent, we serve as the merchant of record for bookings made by you through the Service under Saspo’s agency accreditations, such as IATA BSP or ARC certification, this ensures professional and compliant ticketing service for you and your customers.

Servicing

Distriply provides comprehensive travel support to help you manage issues with bookings and orders. This includes assisting with changes, cancellations, and any other operational requirements, ensuring that both you and your customers receive timely and effective resolutions.

Settlement

We enable the settlement of orders with travel suppliers.

Payments are processed via regulated financial institutions. Distriply acts in compliance with all legislation relevant for the Service.

Using Our Service

To access Distriply One, you must first register for an account. During the registration process, you will be required to provide accurate and complete business information. As part of our commitment to regulatory compliance and security, we conduct a Know Your Customer (KYC) process. This involves verifying your identity, business details, and other relevant information. Your account will only be fully activated once this verification is successfully completed. You are responsible for ensuring that the information provided during registration remains accurate and up to date. If any changes occur, you must update your details promptly by contacting connect@distriply.com. Depending on the outcome of such KYC your account will be opened or blocked.blocked.

Access to our Service should be restricted to you and authorised individuals within your Agency. It is your responsibility to safeguard your login credentials, including your username and password, and to prevent unauthorised access. Do not share or expose this information to anyone outside your Agency. If you suspect or become aware of any unauthorised access to your login credentials or the Service, you must notify us immediately via email at connect@distriply.com.

Please be aware that you are responsible for all actions taken under your account, whether by yourself, authorised individuals within your Agency, or even by unauthorised parties who have gained access to the Service, and that you will be held liable for any loss or damage resulting out of wilful or gross negligent conduct on your side.

To maintain system integrity and ensure fair usage, activities such as excessive searches without bookings, speculative transactions, or any form of misuse may result in restrictions or suspension of your account as may any behaviour that indicates fraudulent use of the service.

You acknowledge and agree that Distriply does not act as your agent, and neither party is authorised to make or enter into commitments on behalf of the other. You retain full responsibility for ticketing, servicing, and settling your Orders and other reservations.

By adhering to these guidelines, you help ensure a secure and efficient experience for all users on the Distriply Service.

Booking, Changes and Servicing

When you book a flight through Distriply, you will receive a booking confirmation and an itinerary receipt. You can also access the booking details at any time through your order management dashboard on Distriply. If there are any changes to your customer’s flight, such as schedule adjustments, airline changes, or modifications to flight numbers or departure times, Distriply will notify you by email in a timely manner. It is your responsibility to communicate these changes to your customers as soon as possible to ensure they are informed and prepared for their journey.

If you need to make changes to an existing booking, such as rebooking, cancellations, or refunds, you can do so directly through Distriply, following the fare rules of the airline. In some cases, you may also contact Distriply’s support team for assistance. Refund requests must be submitted through the platform in accordance with the airline’s fare conditions.

Distriply reserves the right to cancel bookings that appear invalid, fraudulent, or unenforceable, up to five hours before departure.

Distriply is a distribution service. Responsibility for all that concerns operation of the flights remains with the respective operating carriers with fare rules as well as conditions of carriage or any other regulation issued by the operating carriers being applicable for each order created via the Service.

ADM (Agent Debit Memo) Policy

If an Agent Debit Memo (ADM) is issued due to booking violations or misuse of the system, you will be responsible for any and all associated costs. Common reasons for ADM issuance include entering fictitious or incorrect passenger names, creating duplicate bookings, excessive modifications to the same flight or date (churning), and failing to issue or release held bookings before the time limit expires. If a booking fails or is interrupted during the ticketing process, avoid issuing multiple tickets and instead contact Distriply’s support team for further guidance.

To avoid financial penalties and disruptions, ensure that bookings are made accurately and in compliance with airline policies. Any cancellations within 12 hours of departure must be handled directly with the airline, as Distriply will not be responsible for passengers marked as “no-show.” Airlines determine cancellation fees, and in most cases, airfare is non-refundable and non-transferable. Always review fare rules carefully before booking to understand applicable charges.

Fees and Payments

Fees for accessing Distriply One depend on your selected pricing plan. Payments are processed securely, and invoices are available for your records. Failure to make timely payments may result in penalties or suspension of Service.

At the time of booking, the full amount of the order, including the fare, applicable taxes, charges, and fees, is due and payable by you. Each offer you receive includes a list of available payment methods, allowing you to select one to settle the full amount and confirm the booking. In rare instances, the final payment amount may vary slightly due to exchange rate fluctuations or additional fees imposed by your bank or credit card provider. Please note that we are not responsible for any such discrepancies in the final payment amount.

Intellectual Property Rights

All trademarks, logos, and branding and all other intellectual property of Distriply, its parent companies and partners remain their exclusive property. The Agency cannot use them without prior written approval. However, Distriply may use the Agency’s name and logo for marketing purposes.

Liability

You are responsible for all actions under your login credentials, including those of authorised individuals. You must provide accurate information to travellers and are liable for any failures.

Fraudulent Transactions: You acknowledge and agree that you are responsible and liable for verifying the legitimacy of transactions conducted by your customers through the DISTRIPLY platform. DISTRIPLY shall not be held liable for any fraudulent activities or unauthorized transactions initiated by the Agency’s customers.

Agent Liability: In the event of any fraudulent transactions or misuse of the platform by the Agent’s customers, the Agent shall bear full liability for all resulting losses, damages, or claims. The Agent agrees to indemnify and hold DISTRIPLY harmless against any such claims, including but not limited to legal fees, penalties, or other costs incurred.

Preventative Measures: The Agent is required to implement appropriate measures to detect and prevent fraudulent activities, including but not limited to verifying customer identities and monitoring transactional activity for any irregularities.

The agency must cover all financial obligations, including taxes. If required by law, it must handle tax filings and payments. Distriply’s liability is capped at EUR 2,000. The agency should check travel restrictions, as Distriply is not liable for risks related to international travel.

Service Limitations

Distriply relies on services of third party services. Service availability depends on their delivery. If disruptions occur, Distriply may suspend services without notice and is not liable for any resulting losses. Distriply does not guarantee sales or revenue and provides services “as is” without warranties. We are not responsible for third-party providers like airlines and cannot guarantee uninterrupted access to their service.

Confidentiality and Data Protection

We take data protection seriously and are committed to handle data in compliance with data protection laws, keeping your and your customers’ information safe. You are also expected to maintain the confidentiality of Distriply’s proprietary information.

Both parties agree not to share confidential or personal data with third parties without written consent. Personal data collected through our platform is used only for providing services, managing bookings, and complying with legal obligations.

We collect customer data such as booking details, payment information, and contact details to deliver the Service, improve services, ensure security, and provide support. Your personal data may be shared with third-party service providers like airlines, payment processors, and IT security services, always in compliance with data protection laws.

Your data is retained only as long as necessary for service fulfilment or legal requirements. You have the right to access, update, or delete your information through your account settings. If you wish to withdraw consent for data processing, contact us at connect@distriply.com however, this may limit your access to certain services.

By using our platform, you acknowledge and consent to our data practices as outlined in this policy and the Data Protection Addendum that is available to you as well at http://distriply.com.

Validity and Termination

By registering your Agency with Distriply, you confirm your acceptance of these terms and conditions. You also confirm that you are authorised to act on behalf of your Agency, either by official position or power of attorney, making this agreement binding between Distriply and your company.

These terms and conditions apply to all bookings made through Distriply’s Services. Distriply may update these terms from time to time. We will inform you about updates of our terms and conditions and they apply for any transaction that you do through Distriply’s Service after the changes are published on our website.

You may stop using Distriply’s Services at any time by emailing connect@distriply.com. Distriply also reserves the right to discontinue its services at any time by notifying your agency and all registered and authorised individuals.

Termination, suspension, or expiry of Distriply’s services does not affect any rights accrued before the termination date. Terms related to liability, indemnification, confidentiality, and taxes will continue to apply even after services end.

Governing Law

This Agreement is governed by the laws of Germany, and any disputes shall be resolved under the jurisdiction of the courts in Darmstadt, Germany.
